Terms & Conditions
These Terms and Conditions ("Terms") govern the use of VIXCINITY STUDIO (d.b.a). By engaging our services, you agree to abide by these Terms. Please read them carefully. These blanket terms and conditions ("Agreement") are entered into between VIXCINITY STUDIO, doing business as VIXCINITY STUDIO (d/b/a), and the purchaser. By engaging with VIXCINITY STUDIO for any service, the purchaser agrees to be bound by the terms outlined herein. This Agreement governs all aspects of the relationship between VIXCINITY STUDIO and the purchaser, including, but not limited to, the purchase, creation, and delivery of services or products. The purchaser acknowledges that by initiating a transaction with VIXCINITY STUDIO, they have read, understood, and agreed to these terms and conditions. The terminology 'the company' shall denote VIXCINITY STUDIO (d.b.a), and the abbreviation 'VIXCINITY' shall explicitly represent VIXCINITY STUDIO (d.b.a) for all intents and purposes outlined within this agreement. 1. Service Description VIXCINITY is an ecommerce company that focuses on providing art in both digital and tangible forms. The company offers a variety of services, focusing on but not limited to graphic design and apparel. 2. Disclaimers: 2.1. At Vixcinity Studio, we embrace the idea that the world is an expansive canvas, and our mission is to bring this concept to life through our artwork and products. Our creations are a testament to artistic expression and creativity, designed to inspire and captivate a diverse audience. We want to clarify that the artwork and products presented by Vixcinity Studio are not intended to reflect or endorse any specific religious beliefs, racial viewpoints, political positions—whether domestic or global—or socio-economic perspectives. 3. Ordering Processes (Various Services) 3.1. VIXCINITY Products (Physical): products offered on the VIXCINITY website store. 3.2. VIXCINITY Graphic Design Services (Digital) Graphic design services which are offered NOT offered on the VIXCINITY online store, submit an inquiry form or email so we can further assist you. 3.3. VIXCINITY Custom Apparel: 2.3.1: (Products not listed on online store). Contact via inquiry submission or email and we will be able to further assist you. 4. Payment 4.1. VIXCINITY Website Store: When ordering products from Vixicinity's online store, you can complete your purchase through our secure payment portal during the checkout process. Our system ensures that your electronic payments are fully protected, safeguarding your personal and financial information. Simply follow the prompts in your cart to proceed with a smooth and secure transaction. 4.2. Custom: Graphic Design, Apparel, Apparel. : (This section specifically refers to products NOT included in the VIXCINITY online store.) Pricing: Prices are determined in the quotation and may include design, setup, and production costs. Prices are subject to change upon agreement with both parties. To initiate project full payment must be remitted before production. Payment must be made as agreed upon. 4.3. A surcharge of 2.99% will be added for electronic payments via our online portal (Credit Card, Debit Card, Apple Pay). 5. Copyright & Trademark Rights to Usage 5.1. All original works, intellectual property, graphic designs, and mock-ups crafted by VIXCINITY are legally safeguarded by copyright, entitling the company to the full scope of legal rights and remedies as afforded by such protections. Ownership of the intellectual property remains with VIXCINITY STUDIO unless explicitly transferred through a separate written agreement. The purchaser is granted a limited license to use the delivered product solely for its intended purpose, and any reproduction, modification, distribution, or unauthorized use of the content is strictly prohibited without prior written consent from VIXCINITY STUDIO. 5.1.1: VIXINITY STUDIO (d.b.a) creates digital and tangible products using original content or content for which it holds commercial rights. 5.2. Custom Products for Clients: By providing design, logo, or intellectual property to VIXCINITY for any purpose, the client affirms that they are the rightful owner of said materials or possess the necessary authority, permission, and rights to utilize them (for the intent of resale or personal use). 5.2.1. This endorsement extends to any images, logos, or files (files (including PSD, vectors, JPEG, PNG, etc.) submitted, regardless of their format. 5.2.2. VIXCINITY is not responsible or liable for any copyright or trademark infringement that may result from the client's use of the provided materials, rather it liability transfers to the client. It is the client's responsibility to ensure they have the proper rights and permissions for the use of these materials. 6. Use of artwork, media, and final products: 6.1. VIXCINITY is granted the right to use (obtained for custom creation) artwork, media, and final products for the VIXCINITY’s portfolio and as samples to other customers. 6.2. Any works used in VIXCINITY portfolio will not be used for resale or sold for monetary gain. Their use is solely for portfolio presentation. 6.3 VIXCINITY Portfolio is covered by both physical and digital portfolio, which includes but is not limited to social media pages, website, and other platforms. 7. Production and Delivery 7.1. Our general turnaround time for decorated garments is approximately 10-14 business days. However, as a small business, this may change based on demand. Please note the turnaround time in product descriptions. 7.1.1: Offering a wide variety of services, turnaround time vary for different products/services. Product posted on website: individual listings will include production time. 7.2 Changes to order: If, for any reason, you need to change an order once it was placed, please contact us immediately. It may be possible to change an order before production. However once an order has begun production or has shipped, the order cannot be changed. In some cases, a change may delay an order. If that is the case we will inform you of that at the time of the change. 7.2.1. Any change of an order after 2 days of an order confirmation being sent may result in a $10 change fee. 7.3. Delivery: You are responsible for the cost of delivery unless otherwise specified. Once the products leave our premises, we are not responsible for any loss, damage, or delay during shipping. 8. Quality Control 8.1. Quality Assurance: VIXCINITY is committed to maintaining high-quality standards. We inspect all products before delivery to ensure they meet the agreed-upon specifications. 8.2. Returns and Refunds: 8.2.1: Apparel / Physical Products. 8.2.1.1. The only returns we can accept are for defective apparel or defective decoration. 8.2.1.2. In case of any defects or issues with the products, please contact us within 7 days of receipt, and we will work to find an appropriate resolution, which may include replacement or refund. 8.2.1.3. We do not accept returns for sizing issues. However, we will try and help you out as much as we possibly can, within reason. 8.2.2.: Graphic Design Services / Digital Products: There is NO refunds accepted for digital products or graphic design services. In the event of cancelation prior to the completion of the product, please see section 9.2. 9. Cancellation In the event of cancellation of an order, specifically, before production (digital or physical), cancellation will result in costs, depending on the production stage and any materials or labor already expended. 9.1.1. Apparel / Physical Products (available in VIXCINITY online store): 9.1.1.1: Only before production can an order be canceled. 9.2.1. Graphic Design Services: 9.2.1: In the event of order cancelation for graphic design services or digital products PRIOR to completion: The client may be eligible for a partial refund. Once the graphic design proccess has started, at minimum* 50% of cost will be paid to VIXCINITY. This is to compensate for time expended. The exact value of the refund is solely at the discretion of VIXCINITY STUDIOs. Depending on the progression of the project, the client may be eligible to a maximum of 50%. 9.3.1: Custom Decorated Apparel / Physical Products Cancelation: You can cancel at any time prior to the order going into production. Once items have been decorated with your logo, we can no longer accept a cancellation. For partial refunds please reference section Custom embroidery/custom services: If your logo / artwork has been digitized & stitched out or issued a proof for approval there will be a $50 set-up fee. 9. VIXCINITY's Right to Decline or Terminate Services VIXCINITY has the authority to decline, terminate, or discontinue any client request and cease services, as permitted by the Federal Civil Rights Act of 1964. Reasons for such action may include, but are not limited to: 9.1. Violation of Terms: Breach of agreed-upon terms and conditions, including failure to adhere to legal or ethical standards. 9.2. Client Conduct: Disruptive, disrespectful, or detrimental behavior impacting the working relationship or company's welfare. 9.3. Quality Assurance: Client requests not meeting VIXCINITY's quality standards or values. 9.4. Legal or Ethical Concerns: Concerns about potential legal or ethical issues linked to the client's request. 10. Governing Law These Terms and any disputes arising from the services provided by VIXCINITY are governed by the laws of New York State.
